1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Chain-Fi Ltd ("ChainFi," "we," "us," or "our"), a company registered in England & Wales, governing your access to and use of the Chain-Fi platform, including the Chain-Fi Vault, ChainGuard application, and all related services (collectively, the "Services").

By accessing or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not permitted to access or use the Services.

2. Service Description

Chain-Fi provides blockchain security solutions through its proprietary technology stack across two distinct service paths:

2.1 Decentralized Ecosystem Path

  • Chain-Fi Vault: A smart contract-based vault system that redefines wallet functionality by separating asset custody from transaction signing
  • ChainGuard: An off-chain cryptographic signing mechanism providing enhanced two-factor authentication
  • OAuth Services: Secure authentication and authorization services
  • Chain-Fi Registry: Account management and identity services
  • Related Decentralized Services: Including cross-chain asset management and security features

2.2 Centralized Service Path

  • Enterprise Solutions: Customized security implementations for businesses and institutions
  • Institutional Services: Tailored compliance and security frameworks
  • Related Centralized Services: Including server-side attestation and regulatory compliance features

Important: Chain-Fi is a provider of blockchain security infrastructure and does not provide financial advice, investment recommendations, or custody services. We do not take possession, custody, or control over any virtual currency or digital assets within your wallet or smart contracts.


3. Eligibility

You may only use the Services if you:

  • Are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher
  • Have the legal capacity to form a binding contract with Chain-Fi
  • Are not barred from using the Services under applicable laws
  • Comply with these Terms and all applicable laws and regulations
  • Are not located in a jurisdiction where the Services are prohibited

If you are using the Services on behalf of an entity or organization, you represent and warrant that you have the authority to bind that entity to these Terms.


4. Asset Ownership and Control

4.1 Decentralized Ecosystem Path

  • You retain full custody and ownership of your assets and smart contracts at all times
  • Chain-Fi provides secure asset management solutions but does not have control over your funds
  • You can access and manage your funds at all times through the decentralized infrastructure, even in the event of Chain-Fi service disruptions
  • Your assets are stored in smart contracts that you own and control
  • Chain-Fi cannot access, transfer, or control your assets without your explicit authorization through the ChainGuard authentication process

4.2 Centralized Service Path

  • Even when using our centralized solutions, you retain ownership of your assets and smart contracts
  • Centralized services follow Chain-Fi's framework of user asset ownership
  • Your assets remain under your control, with enhanced security features provided by Chain-Fi
  • Additional, customized terms and conditions will be provided for specific services or solutions purchased by protocols, enterprises, or institutions
  • Enterprise solutions may include custom security frameworks while maintaining the principle of user asset ownership

5. Service Availability and Disruptions

5.1 Uptime Commitment

  • Chain-Fi aims to provide 100% uptime for all Services
  • Users can manage and access their funds at all times as they are the custodial owners of the assets
  • The smart contracts that hold assets are owned by the users, not by Chain-Fi

5.2 Potential Service Disruptions

Despite our commitment to continuous availability, service disruptions may occur due to:

  • Frontend or backend attacks
  • System updates and maintenance
  • Blockchain network congestion or failures
  • Force majeure events
  • Third-party service provider issues

In the event of service disruptions, users will be notified via the frontend interface.

Even during service disruptions, users retain ownership and control of their assets through the underlying blockchain infrastructure.

5.3 Decentralized Access Assurance

  • The decentralized nature of blockchain technology ensures that users can access their assets directly through the blockchain, independent of Chain-Fi's frontend services
  • Chain-Fi will provide documentation on alternative access methods in case of service disruptions
  • Users are responsible for maintaining access to their private keys and wallet credentials

6. Risk Disclosure and Disclaimers

6.1 General Risk Warning

BLOCKCHAIN TECHNOLOGY AND DIGITAL ASSETS INVOLVE SIGNIFICANT RISKS. BY USING OUR SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND ASSUME THESE RISKS.

The Services utilize cryptographic and blockchain-based systems which are experimental in nature. You understand and acknowledge that:

  • Digital assets are highly volatile and their value can fluctuate significantly
  • Transactions on blockchain networks are irreversible and cannot be canceled or reversed once confirmed
  • Loss of private keys may result in permanent loss of access to digital assets
  • Blockchain networks may experience delays, congestion, or technical issues
  • Smart contracts may contain bugs, vulnerabilities, or other issues that could result in loss of funds
  • Regulatory changes may impact the legality or functionality of the Services
  • Third-party services (wallets, exchanges, bridges) may have their own risks and vulnerabilities
  • Technology risks including software bugs, network attacks, and protocol changes

6.2 Security Limitations

While Chain-Fi is committed to providing one of the most secure asset management systems available:

  • Personal conduct can still compromise security despite extensive risk mitigation efforts
  • No security system is completely impenetrable
  • Users must follow security best practices to maximize protection
  • Chain-Fi cannot guarantee absolute security against all threats

6.3 No Financial Advice

Chain-Fi does not provide investment, tax, legal, or financial advice. Nothing contained in the Services or any communications from Chain-Fi should be construed as financial advice or a recommendation to buy, sell, or hold any digital asset. Any decisions related to digital assets should be made based on your own research and in consultation with professional advisors.

6.4 No Speculative Investment Promotion

The $GUARD token (if launched) follows a product-first philosophy and is not promoted as a speculative investment. The token is designed to provide access to Services, payment of fees, and participation in ecosystem activities. Chain-Fi makes no representations regarding the future value of $GUARD tokens and explicitly discourages purchasing the token for speculative purposes. Important: $GUARD has not been launched and there is no launch date.


7. User Responsibilities

7.1 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your private keys, passwords, and authentication credentials
  • Implementing appropriate security measures to protect your devices and accounts
  • All activities that occur under your account or through your private keys
  • Promptly notifying Chain-Fi of any unauthorized use or security breach
  • Using secure devices and networks when accessing the Services

7.2 Accurate Information

You agree to provide accurate, current, and complete information when using the Services and to update such information as necessary.

7.3 Prohibited Activities

You agree not to:

  • Use the Services for any illegal purpose or in violation of any applicable laws
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Circumvent, disable, or otherwise interfere with security-related features of the Services
  • Attempt to gain unauthorized access to the Services or related systems
  • Use the Services to engage in market manipulation, fraud, or deceptive practices
  • Impersonate another person or entity or misrepresent your affiliation with a person or entity
  • Use automated systems (bots, scrapers) to access the Services without permission
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services in any way that could damage, disable, or impair Chain-Fi's reputation

8. Intellectual Property

All content, software, and technology comprising the Services are owned by Chain-Fi or its licensors and are protected by intellectual property laws, including copyright, trademark, patent, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for the purposes permitted by these Terms.

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the Services without our prior written consent
  • Remove any proprietary notices or labels from the Services
  • Create derivative works based on the Services

Any feedback, comments, or suggestions you provide regarding the Services may be used by Chain-Fi without obligation to you.


9. $GUARD Token

9.1 Token Philosophy

The $GUARD token follows a product-first philosophy. $GUARD will only launch if it clearly strengthens the ChainGuard product and empowers our community. We follow a product-first approach: real usage, revenue, and security before any token. $GUARD will only exist if it provides genuine utility that non-token mechanisms cannot deliver.

Important: $GUARD has not been launched and there is no launch date. The token will only launch if and when all launch gates are met, including live product with audits, meaningful usage/retention, sustainable revenue model, healthy community, governance readiness, compliance approvals, proven utility, responsible economics, ethical distribution, and post-launch transparency.

9.2 Token Utility (If Launched)

If $GUARD is launched, it is designed as a utility token for use within the ChainGuard ecosystem:

  • Provide access to different membership tiers within the platform
  • Pay for transaction fees and services within the ecosystem
  • Participate in ecosystem rewards programs
  • Enable future governance participation (if implemented)

9.3 Not a Security or Investment Product

$GUARD is not designed as a security, investment product, or speculative asset. The token is intended solely for utility purposes within the ChainGuard ecosystem. Chain-Fi makes no promises regarding the future value of $GUARD tokens and explicitly disclaims any representations that $GUARD should be purchased for investment or speculative purposes.

No Speculative Investment Promotion: $GUARD follows a product-first philosophy and is not promoted as a speculative investment. The token provides access to Services, payment of fees, and participation in ecosystem activities. Chain-Fi makes no representations regarding the future value of $GUARD tokens and explicitly discourages purchasing the token for speculative purposes.

9.4 Regulatory Compliance

Chain-Fi is committed to complying with applicable regulations regarding digital assets. If regulatory determinations or changes in law indicate that $GUARD may be considered a regulated financial instrument in certain jurisdictions, Chain-Fi reserves the right to restrict the availability of $GUARD in those jurisdictions or make necessary modifications to comply with applicable laws.


10. Fees and Payments

10.1 Service Fees

Some Services may require payment of fees. Fees will be clearly disclosed before you commit to a transaction. Fees may include:

  • Subscription fees for premium tiers
  • Transaction fees for gasless transactions
  • Service fees for enterprise solutions

10.2 Payment Terms

  • Payments may be processed through third-party payment processors (e.g., Stripe)
  • All fees are non-refundable unless otherwise stated or required by law
  • You are responsible for any taxes applicable to your use of the Services
  • Chain-Fi reserves the right to change fees with reasonable notice

10.3 Refunds

Refunds are provided only where required by law or as explicitly stated in specific service agreements.


11. Third-Party Services and On-Chain Interactions

11.1 Third-Party Services

The Services may integrate with or link to third-party services, including:

  • Blockchain networks (Ethereum, Base, Arbitrum, Optimism, Polygon)
  • Wallet providers
  • Payment processors
  • KYC/AML providers
  • Other service providers

Chain-Fi is not responsible for the availability, accuracy, or practices of third-party services. Your interactions with third-party services are subject to their respective terms and conditions.

11.2 On-Chain Interactions

  • You acknowledge that interactions with blockchain networks and smart contracts are irreversible
  • Chain-Fi cannot reverse, cancel, or modify on-chain transactions
  • You are responsible for verifying transaction details before confirmation
  • Chain-Fi is not responsible for losses resulting from on-chain interactions

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Chain-Fi disclaims all warranties, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of information
  • Uninterrupted or error-free operation

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAINFI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • The failure of blockchain networks or smart contracts
  • Loss of digital assets for any reason
  • Service disruptions or technical issues
  • Third-party service failures

IN NO EVENT SHALL CHAINFI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO CHAINFI FOR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR £100 (ONE HUNDRED POUNDS), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.


14. Suspension and Termination

14.1 Our Rights

Chain-Fi reserves the right to:

  • Suspend or terminate your access to the Services at any time, with or without cause or notice
  • Remove or refuse to process any content or transactions
  • Take legal action against you for violations of these Terms

14.2 Your Rights

You may terminate your use of the Services at any time by:

  • Closing your account (where applicable)
  • Ceasing to use the Services
  • Contacting support@chain-fi.io

14.3 Effect of Termination

Upon termination:

  • Your right to use the Services will immediately cease
  • You retain ownership of your assets and smart contracts
  • Provisions that by their nature should survive termination will survive (including Sections 8, 12, 13, 15, and 16)

15. Changes to the Service and Terms

15.1 Service Changes

Chain-Fi reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

15.2 Terms Changes

Chain-Fi may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending an email to registered users (where applicable)
  • Displaying a notice on the Services

Continued use of the Services after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services.


16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have rights under the mandatory laws of your country of residence, which cannot be excluded or limited.


17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Chain-Fi regarding the Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without Chain-Fi's prior written consent. Chain-Fi may assign these Terms without restriction.

17.5 Force Majeure

Chain-Fi shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or failures of third-party service providers.
